Information on Health Profession Corporations

 

Under the Regulated Health Professions Act, 1991, Medical Laboratory Technologists along with other regulated health professionals have the option of incorporating their practice as a health profession corporation. The advantages and disadvantages or practicing through a health profession corporation will vary depending on your unique circumstances. The CMLTO is unable to provide registrants with legal or business advice about this process, and encourage those interested to seek legal and financial advice about the matter from a lawyer or accountant.

Please read further for more information about the steps you must complete before the College can issue a Certificate of Authorization for a Health Profession Corporation.

Key features of Health Profession Corporations include:

  • Professional liability is not limited by incorporation.
  • The name of the professional corporation must include the words “Health Profession Corporation” or “Société des professions de santé” and cannot be a number name.
  • The shareholders of a Health Profession Corporation must be registrants of the College and must be from the same profession.
  • The professional corporation may not carry on a business other than the practice of the profession.

Follow the steps below:
  1. Consult your lawyer or accountant to see if setting up a Health Profession Corporation is a good option for you.
  2. Contact Service Ontario to set up your business.
  3. After you receive your copy of the Articles of Incorporation, copy of the Certificate of Incorporation, copy of a Corporation Profile Report, you may proceed with your application to the CMLTO for a Certificate of Authorization for a Health Profession Corporation.
    • Please note: if you choose to incorporate, all Officers, Directors, and shareholders must be Medical Laboratory Technologists. The name of the professional corporation must include the words “Health Profession Corporation” or “Société des professions de santé”, cannot be a number name and must indicate the health profession practiced by the shareholders. 
  4. Submit your application for an initial Certificate of Authorization for a Health Profession Corporation to the CMLTO. You can access the application form here.
  5. It will take five (5) business days to review your application. If you submit an application that is missing information, the CMLTO Registration Department will contact you by email asking for outstanding materials.
  6. If your application is denied, you will receive an email from the Registration Department with that decision, and the reasons for that decision.
  7. If your application is approved, you will receive an email from the Registration Department with that decision, and you will be sent a payment form to complete.  Your application will NOT be considered fully approved and a Certificate of Authorization for a Health Profession Corporation will NOT be issued until payment is received by the CMLTO.
  8. Once your fee is paid, you will receive your Certificate of Authorization for a Health Profession Corporation, and the CMLTO Public Register will be updated to include information about your corporation, in accordance with the requirements  set out by the RHPA and the CMLTO By-Law.
  9. All Certificates of Authorization for a Health Profession Corporation are required to be renewed on an annual basis.  Two (2) weeks before the expiration date of your Certificate of Authorization for a Health Profession Corporation, you will receive an email from the Registration Department with instructions on how to renew your Certificate of Authorization for a Health Profession Corporation.   10. If you do not renew your Certificate of Authorization for a Health Profession Corporation by your renewal date, you will receive an email from the College indicating that you have incurred an additional fee, as outlined CMLTO administrative procedures  and that you have an additional sixty (60) calendar days to complete your renewal. If your renewal is not complete after sixty (60) calendar days, the CMLTO will revoke your Certificate of Authorization. The revocation will appear permanently on the CMLTO Public Register.
